Terms of service
Clear terms, no surprises.
Introduction
These terms govern your use of copadre — this site, the portal at app.copadre.com, and the agent widget you embed on your own website. copadre is operated by This Company (Digital) Limited, registered in England and Wales (Company No. 11365195). By creating an account or using copadre, you agree to these terms and to the data processing agreement, which forms part of them.
Definitions
- Service — the copadre platform
- Account — your registered copadre account, held by a business
- Agent — an assistant you create and configure in copadre. A specialist carries out a single role; a concierge routes a visitor to the right specialist.
- Visitor — someone who talks to one of your agents on your website
- Conversation — the exchange of messages between a visitor and your agents
- Your AI account — your own account with Anthropic, whose API key copadre uses to run your agents
Your account
- accounts are held by businesses; whoever opens one must be authorised to act for that business
- you must give a valid email address
- you decide who to invite to your account and what role to give them (owner, developer, editor, viewer), and you are responsible for that choice
- sign-in is passwordless — keep your passkeys and your email account secure
Your AI account and your bill
- copadre runs your agents on your own Anthropic API key, which you supply and which we store encrypted
- your contract for AI is with Anthropic, not with us. You hold the account, you agree Anthropic’s terms, and Anthropic bills you directly. copadre adds no markup.
- you are responsible for maintaining your Anthropic account and for complying with Anthropic’s own terms and usage policies
- we are not responsible for Anthropic’s availability, pricing, or changes to and retirement of models
- if your key is removed or revoked, or your Anthropic spend limit is reached, your agents will stop replying
Your agents and what they say
- you write your agents’ instructions and choose their model. What your agents say is your responsibility.
- AI output can be wrong. copadre does not check your agents’ replies for accuracy before they are sent.
- the out-of-knowledge signal helps you find gaps in what your agents know. It is not a guarantee that an agent will never answer something it should not.
- if your agents touch regulated territory — medical, legal, financial or similar — the controls that requires are yours to put in place
- copadre applies its own baseline guidance to every agent, to protect against abuse and to enable features of the service
- where we build or configure agents for you, we do so on your instructions and on your behalf
Acceptable use
You may not use copadre to build agents that break the law, harass anyone, or handle content you are not entitled to handle.
You also may not build agents that:
- impersonate a real person, living or dead, in a way that could lead someone to believe they are talking to that person
- are designed to form, simulate or sustain a personal, emotional or romantic relationship with the people who talk to them
Giving an agent a name and a personality is not impersonation, and this does not stop an agent handling a difficult subject with care or pointing someone towards real help. What we will not host is an agent whose purpose is to stand in for a real person, or to be somebody’s companion.
We may suspend an account that breaches this section.
Your visitors
- you are responsible for telling your visitors, in your own privacy notice, that they are talking to an AI agent and what happens to their conversation
- you decide what your agents ask visitors for. copadre does not ask visitors for personal details.
- how we handle your visitors’ conversations is set out in the data processing agreement, which forms part of these terms
Your data
- your account details, your agents’ instructions and your conversations are yours
- we process them only to run the service for you, as set out in the data processing agreement
- we hold your conversations for as long as your account is open, so you and your team can use them. You can ask us for a copy of them at any time, in a machine-readable format, as set out in the data processing agreement.
- if you connect an external tool — including an AI tool via MCP — to your account, that is your instruction to us to disclose the relevant data to it; see the data processing agreement
Payment
Each account’s first six months are free, on the up-to-100-agents plan, with every feature included and no card required. The prices that apply after that are published on the pricing page; you choose your plan when your free period ends. We will email you before your first charge, and nothing will be charged without your agreement.
Plan limits count active agents. Inactive agents and drafts do not count towards your plan’s limit.
Fair use
Each plan includes a generous level of conversation traffic. Every plan includes a monthly fair-use allowance of visitor messages across the account: 20,000 messages on plans of up to 10 agents, 100,000 on plans of up to 100 agents, and 500,000 on plans of up to 1,000 agents. During an account’s free six months, the up-to-100-agents allowance applies. Private preview chats and the in-app helper do not count towards the allowance.
- these are soft limits. If your usage approaches or exceeds an allowance your service will continue to function as normal and we will contact you about upgrading your account.
- to protect the service for everyone, extreme spikes in traffic to a single agent may be smoothed: an agent receiving thousands of new conversations in a single day may have new conversations briefly paused.
- allowances exist to prevent abuse of a flat platform fee. If you need higher usage limits please contact us about upgrading to a custom plan.
Availability
copadre is provided as is. We do not offer a service level agreement or guarantee uninterrupted access, and we may change or remove features.
Intellectual property
The copadre name, logo, design and software belong to This Company (Digital) Limited. You may not copy, modify or distribute them. You keep ownership of your own content and your agents’ instructions.
Liability
- our total liability to you is limited to the fees you have paid us
- we are not liable for what your agents say, for your Anthropic costs, or for the actions of your visitors
- we are not liable for failures or delays caused by events outside our reasonable control
- nothing in these terms excludes liability that cannot be excluded by law, including your statutory rights
Claims against us
If someone brings a claim against us because of what your agents said, what you instructed them to do, or how you handled your visitors’ data, you will cover the losses and costs we reasonably incur as a result, including legal fees. This does not apply to the extent the claim arises from our own breach of these terms.
Ending it
- you can close your account at any time
- we may suspend or close an account that breaches these terms
- while your account is in its free period, we may withdraw the service, in whole or in part, at any time. We would tell you before we did, but we do not commit to a notice period while you are not being charged.
- on closure, your data is deleted as set out in the data processing agreement
Changes to these terms
We may update these terms. For changes that materially affect your rights or how the service works, we will email you before they take effect. If you continue to use copadre after that, you accept the updated terms.
General
- these terms, together with the data processing agreement, are the whole agreement between us about copadre
- if part of these terms turns out to be unenforceable, the rest still stands
- if we do not enforce a term straight away, we have not given it up
- you may not transfer your agreement with us to someone else without our written consent. We may transfer ours as part of a sale or reorganisation of our business, on the same terms.
- no one other than you and us has rights under these terms (Contracts (Rights of Third Parties) Act 1999)
Governing law
These terms are governed by the laws of England and Wales, and disputes will be resolved in its courts.
